Terms of Service

By accessing HireShopifyDevs.com, submitting a project enquiry, or engaging any service provided by HireShopifyDevs ("Company", "we", "us"), you ("Client") agree to be bound by these Terms of Service. If you are entering into these terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity. If you do not agree to these terms, please do not use our services.

2.1 Scope of Services

HireShopifyDevs provides Shopify development services including but not limited to: custom store development, theme design and customisation, app development, platform migration, SEO optimisation, and Shopify Plus implementation. The specific deliverables, timeline, and cost for each engagement are defined in a separate Statement of Work (SOW) or project agreement.

2.2 Engagement Models

Services are offered on an hourly, monthly dedicated, or fixed-price project basis. The engagement model, rate, and specific terms are agreed upon before work commences and confirmed in writing. Hourly and monthly engagements are billed on a recurring basis; fixed-price projects are billed per agreed milestones.

2.3 Developer Matching

HireShopifyDevs matches clients with vetted Shopify developers from our talent pool. We do not guarantee the availability of any specific developer but will present 2–3 suitable profiles within 48 hours of receiving your requirements. The client may conduct interviews and select their preferred developer.

3.1 Access & Materials

The client agrees to provide timely access to their Shopify store, relevant accounts, design assets, branding guidelines, and any other materials reasonably required for project delivery. Delays in providing required materials may result in timeline extensions and additional costs.

3.2 Review & Approval

The client is responsible for reviewing deliverables and providing feedback within the agreed review periods. Failure to provide feedback within 5 business days of submission will be treated as approval, and the project will proceed accordingly.

3.3 Compliance

The client is responsible for ensuring that all content, products, and business practices on their Shopify store comply with applicable laws, Shopify's Terms of Service, and any third-party platform policies. HireShopifyDevs is not liable for client content or business practices.

4.1 Invoicing

Hourly engagements are invoiced weekly based on tracked hours. Monthly dedicated engagements are invoiced on the 1st of each month in advance. Fixed-price projects are invoiced per the milestone schedule defined in the SOW. All invoices are due within 7 calendar days of the invoice date unless otherwise agreed.

4.2 Late Payments

Invoices not settled within the payment period will incur a late payment fee of 1.5% per month on the outstanding balance. HireShopifyDevs reserves the right to pause or suspend work on any project where payment is more than 10 days overdue.

4.3 Disputed Invoices

If you believe an invoice is incorrect, you must notify us in writing within 5 business days of receipt. Undisputed portions of an invoice remain due on the original payment date.

4.4 Taxes

All fees quoted are exclusive of applicable taxes. The client is responsible for any applicable sales tax, VAT, GST, or withholding taxes in their jurisdiction.

5.1 Client Ownership

Upon receipt of full payment for a project, all custom code, designs, and other deliverables created specifically for the client under a fixed-price or milestone project are assigned to the client. The client will own all such work product outright with no ongoing royalty obligations.

5.2 Pre-Existing IP

HireShopifyDevs and its developers retain ownership of any pre-existing frameworks, libraries, tools, methodologies, and general-purpose code components. Where such components are incorporated into client deliverables, the client receives a perpetual, royalty-free licence to use them solely within the delivered project.

5.3 Third-Party Components

Some deliverables may incorporate open-source libraries or third-party components. These remain subject to their respective licences. HireShopifyDevs will disclose significant third-party dependencies as part of project documentation.

5.4 Portfolio Rights

Unless expressly prohibited in writing, HireShopifyDevs reserves the right to reference the client's name and display a general description of the project in our portfolio and marketing materials. We will not disclose confidential or proprietary project details without explicit consent.

Both parties agree to keep confidential all non-public information received from the other party in connection with the engagement ("Confidential Information"). This obligation does not apply to information that is or becomes publicly known through no breach of this agreement, is independently developed, or is required to be disclosed by law. 7.1 HireShopifyDevs Warranties

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. We warrant that all developers on our platform hold genuine Shopify expertise. We provide a 30-day guarantee: if the developer is not performing to expectation within the first 30 days, we will replace them at no additional cost.

7.2 Disclaimer

Except as expressly stated, HireShopifyDevs provides services on an "as-is" and "as available" basis. We do not warrant that deliverables will be error-free, that your store will achieve specific revenue or conversion targets, or that the services will meet every specific requirement not documented in the SOW.

To the maximum extent permitted by applicable law, HireShopifyDevs's total cumulative liability arising out of or related to these Terms or any engagement shall not exceed the total fees paid by the client in the three (3) months preceding the event giving rise to the claim. In no event shall either party be liable for indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, or business opportunities — even if advised of the possibility of such damages.

9.1 By Client

The client may terminate a monthly engagement with 14 days' written notice. Fixed-price projects may be terminated for cause if HireShopifyDevs materially breaches the SOW and fails to cure the breach within 10 business days of written notice. Upon termination, the client shall pay for all work completed up to the termination date.

9.2 By HireShopifyDevs

We may terminate any engagement immediately upon written notice if: the client fails to make payment within 10 days of the due date; the client engages in abusive or harassing behaviour toward our team; or the client uses our services for illegal or unethical purposes.

9.3 Effect of Termination

Upon termination, each party shall return or destroy the other's Confidential Information. IP ownership of completed deliverables (for which full payment has been received) passes to the client. Partially completed deliverables remain the property of HireShopifyDevs until the pro-rated balance is settled.

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which HireShopifyDevs is registered, without regard to conflict of law principles. Any dispute arising under these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the rules of a mutually agreed arbitration body.

HireShopifyDevs reserves the right to update these Terms of Service at any time. We will notify existing clients of material changes via email at least 14 days before the changes take effect. Continued use of our services after changes are posted constitutes acceptance of the revised Terms.
